Terms of Use

1. About these Terms

These Terms of Use ("Terms") govern your use of the Pionare mobile application and any related services (together, the "App"). The App is operated by TECHNOGRADE YAZILIM TEKNOLOJİ VE TİCARET LİMİTED ŞİRKETİ, a company registered in Türkiye, with its registered office at Merkez Mah., Feriköy Fırın Sok. No: 69/2, Şişli, İstanbul, Türkiye ("Company", "we", "us", "our").

By downloading, accessing or using the App, you ("you") agree to these Terms and to our Privacy Policy, which forms part of them. If you do not agree to these Terms, do not use the App.

The App is offered only for Apple iOS devices, through the Apple App Store.

2. What Pionare does

Pionare creates images using third-party artificial-intelligence models. There are three ways to use it:

• Apply a style. You choose a category and a visual style from a catalogue we curate, and the App applies it to a photo you provide.
• Write your own description. You describe the image you want, and the App creates it. If you are unsure how to phrase it, the App can expand or rewrite your description before generating.
• Use a personal profile. You build a profile from photos of yourself (see Section 11), and then create images of yourself in any style or scene.

Images produced by the App are referred to in these Terms as "Generated Content".

To generate an image, the App sends your photo, your description and the identifier of any style you selected to third-party AI infrastructure providers. We currently use fal.ai (Features and Labels, Inc.), Replicate (Replicate, Inc.) and OpenAI (OpenAI, L.L.C.). We may add, replace, or use additional or alternative providers at any time, in Türkiye or abroad. How this data is handled is described in our Privacy Policy.

AI output is produced automatically. It may be inaccurate, unexpected, or unsuitable for a particular purpose. Our providers apply their own content restrictions and may refuse to produce certain material. The App is provided for creative and entertainment purposes.

3. No account is required

You do not need to create an account, and there is nothing to sign in to. Your credit balance, your purchases, your profile and your generated images are associated with your installation of the App on your device.

This has a consequence you should understand before you buy anything:

• If you delete the App, change device, or reset your device, your credit balance and your profile may not be recoverable. Apple's "Restore Purchases" restores an active subscription, but Apple does not restore consumable purchases such as credit packs.
• Generated images are stored on your device. If you delete the App, they are deleted with it. Export anything you want to keep.

If you lose a balance in these circumstances, contact info@pionare.app and we will help where we reasonably can, but we cannot guarantee recovery.

4. Credits

Creating content in the App consumes credits. The number of credits a single generation requires depends on the model used, the output resolution, the style or feature selected and other factors. The cost is shown in the App before you generate, and your balance is visible as you use it.

There are two separate kinds of credit, and they behave differently:

Order of use. When you generate, subscription credits are used first. Purchased credits are used only once your subscription credits for that cycle are exhausted. This means the credits that expire are always spent before the credits you paid for separately.

Free credits on install. A new installation of the App includes a one-time balance of free credits. This is a one-off welcome grant: it does not recur and it is not a periodic allowance.

5. Pionare Pro

Pionare Pro is an auto-renewing subscription, offered as weekly, monthly and yearly options within a single subscription group.

Credits. Pro includes a full credit allowance for each credit cycle. A credit cycle is seven days long and is counted from the date your subscription started — it is not a calendar week and does not depend on the day of the week. At the start of each cycle your subscription-credit balance is set to the full allowance; it is not added to the previous balance, and unused subscription credits from the previous cycle are lost.

The seven-day credit cycle is independent of your billing period. If you subscribe monthly or yearly, you are billed monthly or yearly, but your credits still refresh every seven days.

Free trial. The weekly plan currently includes a 3-day free trial. If you do not cancel at least 24 hours before the trial ends, the subscription begins and you are charged. If you purchase a subscription during a trial, any unused portion of the trial is forfeited. Trial length and availability may change, and a trial may not be offered to users who have previously received one.

Billing, renewal and cancellation. All purchases are processed by Apple through your Apple Account and are subject to the Apple Media Services Terms and Conditions. Your subscription renews automatically for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours prior to the end of the current period. You can manage or cancel a subscription at any time in Settings → your name → Subscriptions on your device. Cancelling stops future renewals; it does not refund the period you are already in.

6. Credit packs

We offer one-time credit packs of 250, 600, 1,400 and 6,000 credits. Credit packs are consumable in-app purchases processed by Apple.

• Credit packs are currently available to users with an active Pionare Pro subscription.
• Purchased credits do not expire and are not removed by the credit-cycle reset.
• Purchased credits remain in your balance and can still be used if your subscription ends.
• Because they are consumable purchases, Apple does not restore them if you delete the App or change device. See Section 3.

7. Changes to credit costs, styles and features

We may change the number of credits any generation requires, at any time, upward or downward. Reasons include changes in the cost or availability of the third-party models we rely on, changes in output quality or resolution, and the prevention of abuse.

• The credit cost displayed at the moment you start a generation is the cost that applies to that generation.
• A change is never applied retroactively to generations already completed.
• A change never reduces a credit balance already granted to you or purchased by you.
• Where we increase costs materially, we will make reasonable efforts to notify you in the App in advance, so that you can use an existing balance first.

We may also add, modify, suspend or remove any category, style, model or feature at any time. We do not guarantee that any particular style, category or model will remain available, and content that has been removed may not be restored. Where a change materially reduces the service, we will make reasonable efforts to notify you in the App in advance.

8. Nature of credits

Credits are a limited licence to use the App's generation features. They are not money and have no monetary value. They cannot be transferred, sold, exchanged, or redeemed for cash, and they cannot be moved between devices or between users.

Credits are not refundable except where a refund is required by applicable law or is granted under Apple's policies. Credits consumed by a completed generation are not returned if you are dissatisfied with the result, because the generation has already been performed.

9. Promotional credits

We may grant free or promotional credits at our discretion. Promotional credits are a gift rather than a purchase: they may carry an expiry date, may be limited to particular features or styles, may be withdrawn at any time, and are not refundable or exchangeable under any circumstances. Nothing in these Terms obliges us to grant promotional credits at any time, or to continue or repeat any promotion.

10. Photos and descriptions you provide

"Your Content" means the photos you submit and the descriptions you write in the App.

Your responsibility. You are solely responsible for Your Content. You represent and warrant that you own or have all necessary rights, licences and permissions to it, and that it does not infringe any third party's rights, including intellectual property, privacy and personality or likeness rights. In particular, you must have the necessary consent to submit a photograph containing an identifiable person.

Licence to us. You keep ownership of Your Content. You grant us and our AI processing providers a limited, worldwide, non-exclusive, royalty-free licence to transmit, host, process and modify Your Content solely in order to produce the images you request, to build a profile at your request, and to run the safety screening described in Section 13. This licence ends when the processing is complete, except where retention is required by law.

We do not use Your Content to train our own AI models.

11. Personal profiles

You may build a profile from photos of yourself, so that later images resemble you without you providing photos each time.

• You may only create a profile from photos of yourself. Creating a profile from photos of another person — including a public figure, an acquaintance, or anyone who has not agreed to it — is a breach of these Terms.
• We ask for your explicit consent before a profile is created, separately from your acceptance of these Terms.
• Your profile is stored on your device. It is not shared with other users. See our Privacy Policy for how the photos behind it are processed.
• You can delete your profile in the App at any time. Because it is stored on your device, deleting the App also removes it, and it cannot be recovered afterwards.
• We may block the profile feature, or refuse a profile, where we reasonably believe it is being used in breach of this section.

12. Content you create

Subject to your compliance with these Terms, and to the extent permitted by applicable law and by our AI providers' terms, you own the Generated Content you create with the App and may use it, including for commercial purposes.

You acknowledge that:

• AI models may produce outputs that are similar or identical to outputs produced for other users; we do not warrant that Generated Content is unique;
• the copyright status of AI-generated works differs between countries and may be limited or unavailable; and
• you are responsible for ensuring your use of Generated Content complies with applicable law.

13. Acceptable use

You agree not to use the App to create, upload or distribute content that:

• is sexual content involving minors, or that sexualizes, endangers or exploits children in any way (strictly prohibited, and reported where required by law);
• depicts real, identifiable individuals without their consent, including non-consensual intimate imagery, sexual deepfakes, or content intended to harass, defame or impersonate;
• is unlawful, defamatory, harassing, hateful, or incites violence or discrimination;
• infringes the intellectual property, privacy or other rights of any person;
• is deceptive or fraudulent, or is intended to mislead;
• contains malware, or attempts to disrupt, reverse engineer, or gain unauthorized access to the App or its systems;
• attempts to circumvent, defeat or manipulate the content filters applied to descriptions and generated images, including by rephrasing a blocked request or by using the writing assistant to do so;
• circumvents, manipulates or exploits the credit system, including by tampering with your device clock, intercepting or modifying network traffic, or using automated tools to obtain credits or generations you have not paid for; or
• violates the terms or acceptable-use policies of our AI providers, including fal.ai, Replicate and OpenAI.

Screening. Descriptions are screened before generation, and generated images are screened before they are shown to you. Our AI providers apply their own restrictions in addition. You can report any generated image from the result screen.

We may, without notice, refuse or remove content, disable the profile feature, and suspend or terminate access for any user who breaches this section, and we may report unlawful activity to the competent authorities. Where we suspend or terminate access for a breach of this section, credits in your balance may be forfeited.

14. Our intellectual property

The App itself — including its software, design, branding, the "Pionare" name and logo, and the styles, categories and preset content we author — is owned by the Company or its licensors and is protected by law. We grant you a limited, personal, non-transferable, non-exclusive, revocable licence to use the App for your own lawful use in accordance with these Terms. You may not copy, modify, distribute, sell or lease any part of the App, or reverse engineer it, except to the extent that applicable law expressly permits.

15. Third-party services

The App relies on third-party services, including Apple, our AI providers (currently fal.ai, Replicate and OpenAI, and any future providers), and infrastructure, subscription and analytics providers. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services and do not control their acts or omissions.

16. Disclaimers

To the maximum extent permitted by applicable law, the App and all Generated Content are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability. We do not warrant that the App will be uninterrupted, error-free or secure, that any output will meet your expectations, or that a profile will produce a particular degree of likeness.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable mandatory consumer law.

17. Limitation of liability

To the maximum extent permitted by applicable law, the Company and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or other intangible losses, arising out of or relating to your use of, or inability to use, the App.

To the extent permitted by law, the Company's total aggregate liability arising out of or relating to the App or these Terms will not exceed the total amount you paid, through Apple, for the App and its in-app purchases in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or wilful misconduct, or any non-excludable statutory consumer rights.

18. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless the Company from any claims, damages, losses and expenses (including reasonable legal fees) arising from Your Content, your profile, your use of the App, or your breach of these Terms or of any third-party rights.

19. Suspension and termination

You may stop using the App at any time by deleting it, and you may cancel any subscription through Apple as described in Section 5.

We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or if we discontinue the App. If we discontinue the App entirely, we will make reasonable efforts to give advance notice in the App.

Provisions that by their nature should survive termination — including ownership, the nature of credits, disclaimers, limitation of liability and indemnity — will survive.

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example in the App or by updating the "Last updated" date above. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

21. Governing law and disputes

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-laws rules. The courts and enforcement offices of Istanbul, Türkiye shall have jurisdiction over any dispute.

This does not affect mandatory consumer-protection law: if you are a consumer, you may also bring proceedings in the courts of your place of residence, or apply to a Turkish consumer arbitration committee (Tüketici Hakem Heyeti) where applicable. If you are a consumer in the European Union or elsewhere, you retain the protection of the mandatory provisions of the law of your country of residence.

22. Apple

These Terms are between you and the Company only, not with Apple. Apple is not responsible for the App or its content. To the extent required by Apple:

• The licence granted to you is a non-transferable licence to use the App on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms.
• Apple has no obligation to provide maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims relating to the App, including product-liability, legal or regulatory non-compliance, or consumer-protection claims.
• Apple is not responsible for the investigation, defence, settlement or discharge of any third-party intellectual-property infringement claim relating to the App.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
